# For investors

### Overview

Nexus Ventures is an early-stage venture fund focused on the infrastructure, protocols, and primitives powering the next evolution of decentralized technologies. We invest globally in high-conviction opportunities across crypto-native verticals, with a focus on liquid and semi-liquid positions that offer both high upside and manageable risk exposure.

Our team brings deep technical, operational, and regulatory experience across crypto, venture capital, and protocol design. We operate lean, move fast, and partner closely with founders from day one.

### Investment Focus

We invest at the intersection of crypto infrastructure, zero-knowledge cryptography, and the real-world adoption layer of Web3. Our primary focus areas include:

* Modular Layer 1 / Layer 2 networks
* DePIN (Decentralized Physical Infrastructure)
* Zero-Knowledge (ZK) systems & privacy tech
* MEV mitigation & validator incentive layers
* Decentralized compute (on-chain AI, training, inference)
* Tokenized real-world assets (RWAs)
* Developer tooling for permissionless systems
* Cross-chain interoperability protocols
* On-chain governance & reputation systems

We invest in both equity and token rounds — often in hybrid structures — with strong attention to tokenomics, unlock terms, and legal clarity from day one.

### Fund Structure

| Parameter          | Details                              |
| ------------------ | ------------------------------------ |
| **Fund Size**      | $95 million                          |
| **Stage**          | Pre-seed & Seed                      |
| **Check Size**     | $100k – $500k per deal               |
| **Geography** | Global (US, Europe, Asia, LatAm) |
| **Structure**      | Standard closed-end VC fund (Cayman) |
| **Fund Lifecycle** | 7 years (5 active + 2 extension)     |
| **Fees / Carry**   | 2% Management Fee / 20% Carry        |
| **Max LP Count**   | ≤ 50 (qualified/accredited only)     |

We limit our LP base to aligned, long-term capital — including crypto-native founders, family offices, DAOs, and institutional allocators.

### Liquidity Model & Horizon

Unlike traditional VC funds with long illiquidity cycles, we are structured for earlier, opportunistic exits via token-based strategies.

* Target Holding Period: 2–4 years per position
* Liquidity Events:
  * Token Generation Events (TGEs)
  * Secondary market sales (subject to lockups)
  * M\&A or protocol acquisitions
  * Structured exits (e.g. buybacks, treasury programs)
* Early Distributions: Realized gains can be distributed to LPs prior to fund maturity
* Fund Lifecycle: 7 years total — but partial LP liquidity expected from year 2 onward

This hybrid structure combines venture-style upside with token market liquidity, optimized for the crypto cycle.

### Value for LPs

Investing in Nexus Ventures provides LPs with direct exposure to carefully vetted early-stage crypto projects across both equity and token structures. We maintain a concentrated portfolio to ensure deep engagement with each team, allowing us to influence outcomes and capture asymmetric upside. LPs benefit from priority access to deal flow, detailed reporting on fund performance, and transparent communication on token unlocks, vesting schedules, and secondary opportunities.

We prioritize liquidity where possible — meaning realized gains from token events can be distributed during the lifecycle of the fund. This allows LPs to reallocate or de-risk without waiting for full fund maturity. We also offer select LPs co-investment rights in oversubscribed rounds or strategic follow-ons, giving them direct exposure to breakout deals under favorable terms.

Additionally, we provide curated research updates, technical breakdowns of major portfolio themes (such as ZK tech or DePIN trends), and early insights into market structure shifts — giving LPs not just access to capital returns, but also strategic knowledge that informs broader allocation decisions.

### Our Advantage

What differentiates Nexus Ventures is our ability to operate at the intersection of technical depth and market execution. Our team comes from backgrounds in protocol engineering, cryptography, venture capital, and governance design. This allows us to evaluate deals not only on narrative potential, but on codebase quality, incentive structure soundness, and long-term viability.

We maintain a strict diligence process — combining code-level review, economic modeling, and scenario testing for token models — before entering any deal. Post-investment, we provide hands-on support to founders in areas like validator onboarding, incentive calibration, legal structuring, and scaling token liquidity.

Unlike generalist funds, we specialize in crypto-native deal flow. This gives us early access to top-tier technical teams before rounds go public, and lets us negotiate terms that reflect our operational involvement.

We’re also active in the secondary markets and have the flexibility to exit or double down based on performance and market timing, giving us an edge in managing portfolio risk and capturing liquidity ahead of the cycle.

### Get Involved

We are actively onboarding a limited number of new LPs for the current fund cycle.

If you are a qualified investor, family office, DAO, or crypto-native capital allocator aligned with our thesis — we’d love to connect.
